Responsibilities
- Draft, review, and finalize agreements, contracts, and other legal documents to safeguard the company’s rights.
- Collaborate with management to develop effective defense strategies and manage risks.
- Research and evaluate risk factors related to business decisions and operations.
- Proactively identify and address potential legal issues, offering sound advice to management.
- Communicate and negotiate with external parties (regulators, external counsel, public authorities, etc.), fostering relationships built on trust.
- Provide clarification on legal language and specifications to internal teams.

Your Responsibilities
Legal Advisory & Strategic Counsel
● Serve as a trusted legal advisor to the CFO and executive team on all legal and regulatory matters across business functions
● Advise on media law issues including defamation, privacy, copyright, fair use, and First Amendment considerations
● Advise editorial teams on legal issues related to journalism and ensure compliance with applicable media regulations and industry standards
● Support corporate governance matters including board materials, corporate policies, regulatory filings, and maintaining corporate records
● Develop and implement internal policies, procedures, and legal risk frameworks to ensure compliance and operational efficiency
Commercial Contracts & Transactions
● Draft, review, and negotiate a wide variety of commercial agreements including event sponsorships ($500K-$M+), sales contracts, vendor agreements, content partnerships, licensing agreements, syndication deals, and talent agreements
● Maintain standardized contract templates and playbooks to enable business velocity while protecting company interests
● Provide practical legal solutions that support business objectives in a fast-paced media environment
Events Legal Support
● Provide comprehensive legal support for the global events portfolio, including budgets ranging from $25,00 to over 5 million
● Advise on issues of liability, insurance, force majeure, and attendee terms
● Navigate cross-border legal and regulatory considerations for major event franchises
Intellectual Property Management
● Manage global trademark portfolio and brand protection strategy
● Advise on copyright, content ownership, and journalists' external IP arrangements
● Oversee domain and social media legal matters
Risk Assessment & Litigation Management
● Identify and evaluate legal risks across the organization and develop practical mitigation strategies
● Coordinate with outside counsel on litigation matters, manage discovery processes, and develop litigation strategies
● Oversee pre-publication review when necessary to minimize legal exposure
● Manage relationships with outside counsel and legal service providers to ensure cost-effective delivery of specialized legal services
Employment & Compliance

What Makes You Qualified
Education & Experience
● J.D. from an accredited law school (top-tier institutions strongly preferred)
● Active bar membership in New York (or eligibility to practice in-house in New York)
● 5-10 years of progressive legal experience, ideally including media, entertainment, publishing, technology, or related industries
● Demonstrated expertise in media law, intellectual property, and commercial transactions
● Experience managing litigation matters and working with outside counsel
● Experience supporting live events or conferences strongly preferred
● Experience with newsroom operations and First Amendment issues strongly preferred

About the Job:
The In-House Counsel will assist the Head of Legal with general corporate and transactional matters, contracts, corporate governance and securities functions of the Legal Department. This role presents a unique opportunity to work across legal practice areas and become a generalist (with the support of the Head of Legal and external counsel). The In-House Counsel will have the opportunity to become a trusted partner to senior leadership, external advisors, and internal teams as they provide legal advice on M&A transactions, matters related to securities law, public offerings, securities compliance and regulatory compliance. This position is ideal for a candidate looking to grow (or re-tool) and take on an increasingly impactful role within a fast-paced, high-growth public company.
Key Responsibilities:
- Assisting with drafting, reviewing, and preparing securities filings (10Ks, 10Qs, 8-Ks,Section 16 filings, proxy statements, etc.)
- Assisting with drafting and negotiating agreements including NDAs, master services agreements, service provider agreements, preparing form agreements for real estate transactions and providing advice to business teams concerning the same.
- Supporting corporate governance processes at parent and subsidiary-level, including foreign subsidiaries (preparing board and committee materials, minutes, ensuring compliance with charters and bylaws, maintaining corporate records, etc.)
- Collaborating with compliance specialists to support real estate and mortgage compliance
- Drafting and refreshing employment agreements; reviewing employee handbook and related policies; preparing training materials
- Support M&A transactions (conducting legal due diligence, drafting transaction documents, etc.)
- Overseeing or assisting with intellectual property tasks, such as filing trademarks, reviewing licensing agreements, etc.
- Assisting with routine litigation matters/investigations
- Coordinating with external counsel
- Providing day-to-day legal support and assisting with other matters as needed
Skills and Qualifications
- J.D. from an accredited law school and member of at least one U.S. state bar
- 1-3 years of legal experience. Combination of law firm and in-house preferred, but not required (experience with public company advising or working with high-growth technology companies is a plus)

Summary of Role:
This in-house counsel will focus almost exclusively on contracts, specifically drafting and redlining. The types of contracts will be diverse, from purchase agreements to NDAs to manufacturing agreements. A high level of research & writing is expected. Ancillary duties related to M& A, securities, and corporate governance may be assigned occasionally. However, someone who likes to put their head down and crank out contracts will be best for this position.
Team:
- This in-house counsel will report directly to the General Counsel, and have hands-on interaction/feedback.
- Four other attorneys and ten other support staff work in the legal department.
- All are on-site daily.
